These Terms of Service ("Terms") are between you (the individual or company accessing NTF-OS, "you" or "Customer") and NTF-OS, operated by its founder ("NTF-OS", "we", "us", "our").
By accessing this website, booking a discovery call, or using NTF-OS in any form, you agree to these Terms. If you are accessing NTF-OS on behalf of a company, you represent that you have authority to bind that company to these Terms.
These are business-to-business (B2B) terms. NTF-OS is not a consumer service. If you are an individual acting outside of trade or profession, please contact us before proceeding.
NTF-OS is an autonomous operations system that provides the following functions for your company:
The specific departments, capabilities, and scope active at any time are defined in the service documentation provided to you at onboarding and in the applicable Order Form.
NTF-OS uses large language model (LLM) AI systems to produce content, analysis, code, and operational outputs. You acknowledge that:
We target high availability but do not guarantee 100% uptime. Planned maintenance will be communicated in advance where reasonably practicable. We are not liable for losses arising from unplanned downtime caused by infrastructure providers, network outages, or force majeure events.
NTF-OS is offered under three commercial arrangements:

Prices for monthly plans are in pounds sterling (GBP) and are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' written notice to existing customers. Price changes do not apply retroactively to the current billing period.
Payment is due monthly in advance on the subscription start date. We use Stripe to process payments. Your payment details are stored by Stripe under their own PCI-DSS-compliant terms — we do not store card data.
If payment fails and is not remedied within 7 days of notice, we may suspend access to NTF-OS until payment is received. Failure to remedy within 30 days is grounds for termination under Section 7.
You agree to:
The NTF-OS system — including its software, skills, processes, and infrastructure — is and remains the intellectual property of NTF-OS. These Terms grant you a limited, non-exclusive, non-transferable licence to use NTF-OS during the term of your agreement. No IP is transferred to you.
You retain ownership of all content you provide to NTF-OS (your business data, brand assets, communications, and instructions). You also own the specific work product generated by NTF-OS on your behalf — the strategy documents, code, copy, and reports produced for your company.
You grant NTF-OS a limited licence to process your content solely to provide the services described in these Terms. We do not use your content to train AI models or to benefit other customers.
If you provide suggestions, feedback, or ideas about NTF-OS, we may use them to improve the system without obligation to compensate you. You represent that any feedback you provide does not include third-party confidential information.
Monthly subscription plans run month-to-month from the start date and continue until cancelled. The equity pilot arrangement term is defined in the individual Pilot Agreement (see Section 10).
After the 14-day statutory cancellation window, you may cancel a monthly subscription at any time by contacting us at hello@ntf-os.org. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods beyond the statutory 14-day right above.
Annual subscriptions (Auto-run at £159/month billed annually, and Hybrid at £279/month billed annually) carry the same statutory 14-day right to cancel from sign-up for a full refund, as described in 7.2. After that 14-day window, you may cancel at any time and no further payments will be taken, but the remaining months of the current paid year are non-refundable. The service continues for the remainder of the paid annual term unless you request otherwise.
We may terminate or suspend your access immediately if:
On termination, your licence to use NTF-OS ends. We will retain your data for 30 days post-termination, during which you may request an export. After 30 days, your data is deleted in accordance with our Privacy Policy. Any outstanding fees are immediately due.
Each party agrees to keep the other party's confidential information — including business plans, technical documentation, pricing, and customer data — strictly confidential and to use it only to perform obligations under these Terms. This obligation survives termination for 3 years.
Confidential information does not include information that is: (a) publicly available through no fault of the receiving party; (b) already known to the receiving party without restriction; (c) independently developed without using the other party's information; or (d) required to be disclosed by law or court order (in which case the disclosing party gives prompt notice to the other where permitted).
To the maximum extent permitted by law, NTF-OS is not liable for:
Our total aggregate liability to you in any 12-month period — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is capped at the greater of: (a) the total fees paid by you to NTF-OS in the 12 months preceding the claim; or (b) £500.
For the Equity Pilot arrangement (zero-cash plan), our liability cap is £500 per claim.
Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by law.
NTF-OS provides operational and analytical support. We make no representation or warranty that use of NTF-OS will result in business growth, product success, investor interest, revenue, or any other specific business outcome. You rely on our outputs at your own commercial risk.
Under the Equity Pilot, NTF-OS provides its full service at zero monetary cost. In consideration, the founder agrees to grant NTF-OS a small equity stake in their company. The specific equity percentage, vesting schedule, anti-dilution terms, and governance rights are set out in a separate, individually negotiated Pilot Agreement signed by both parties before services commence.
No equity obligation arises from booking a discovery call, from these Terms, or from any communications prior to signing the Pilot Agreement.
The equity arrangement between NTF-OS and pilot founders constitutes a commercial equity-for-services transaction. Prospective participants should note:
Selection for the Equity Pilot is at NTF-OS's sole discretion. Booking a discovery call does not constitute an offer or acceptance. The pilot programme is limited to five founders at any given time.
Pilot founders who share operational business data (customer data, financial records, etc.) with NTF-OS will be required to execute a Data Processing Agreement (DPA) before such data is processed. This DPA satisfies the requirements of UK GDPR Article 28 and sets out the respective roles of NTF-OS as data processor and the pilot company as data controller.
Our collection and processing of personal data is governed by our Privacy Policy, which forms part of these Terms by reference. For pilot and customer relationships involving the processing of personal data on your behalf, a separate Data Processing Agreement will be executed.
You represent that any personal data you provide to NTF-OS (including data about your customers or team members) is collected and transferred to us with a valid lawful basis under applicable data protection law, and that you have given any required notices to the data subjects involved.
NTF-OS warrants that it will provide the services with reasonable skill and care.
To the maximum extent permitted by applicable law, NTF-OS disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In particular, we do not warrant that: (a) the system will be uninterrupted or error-free; (b) outputs will be accurate, complete, or fit for any particular purpose; (c) any defects will be corrected within a specific timeframe.
We may update these Terms to reflect changes in law, our services, or our commercial model. For material changes, we will give you 30 days' written notice before the changes take effect. Your continued use of NTF-OS after the notice period constitutes acceptance of the updated Terms. If you do not accept the changes, you may terminate your subscription before they take effect.
These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your jurisdiction provides otherwise.
These Terms, together with the Privacy Policy and any applicable Order Form or Pilot Agreement, constitute the entire agreement between you and NTF-OS and supersede all prior communications, proposals, or representations relating to the subject matter.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor entity or in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
